The Vendor agrees to supply goods and/or services to the Company as specified in purchase orders or statements of work issued under this Agreement.
Prices shall be as agreed upon in individual purchase orders. Payment terms are net 30 days from receipt of invoice and satisfactory delivery unless otherwise stated.
The Vendor shall deliver goods/services by the dates specified in purchase orders. Goods shall be subject to the Company's inspection and acceptance. Non-conforming goods may be rejected at the Vendor's expense.
The Vendor warrants that all goods/services supplied: (a) conform to agreed specifications; (b) are free from defects in material and workmanship; (c) comply with all applicable laws and regulations; and (d) do not infringe upon any intellectual property rights.
Both parties agree to maintain the confidentiality of any proprietary information disclosed under this Agreement.
